Integration Addendum

This Integration Addendum is entered into by Nowsta and the Subscriber and supplements the Nowsta Master Subscription Services Agreement. Your Order for Integration Services is governed by these additional provisions. Capitalized terms not otherwise defined in this Integration Addendum have the meanings set forth in the Agreement.

1. Order Form. An Order for Integration Services must specify the following information: Name of Integration (“Integration”), a description of the features and capabilities of the Integration, a description of Subscriber’s responsibilities (such as the provision of APIs and configuration information), and the fees payable for the Integration.

1.1 Integration Separate from Platform Services. Subscriber acknowledges and agrees that the Platform Service is a stand-alone service that can be used without the Integration, and that completion or non-completion of the Integration Services does not affect the parties’ rights and obligations otherwise specified in the Agreement. Failure by Nowsta to complete the Integration Services for any reason shall not affect the parties’ rights and obligations with respect to the Platform Services. In the event Nowsta is unable to complete the Integration Services notwithstanding Subscriber’s completion of all its responsibilities set forth in the Order for Integration Services, Subscriber’s sole and exclusive remedy shall be to cancel the Order for such Integration Services and receive a refund of any pre-paid fees for the Integration Services. If the Integration Services cannot be completed due to Subscriber’s failure to comply with its responsibilities set forth in the Order for Integration Services, no refund will be provided and Subscriber shall be invoiced for and remain responsible for payment of the fees for the Integration Services.

1.2 No Liability For Third Party Fees From Integration. Subscriber acknowledges and understands that use of the Integration may result in additional fees payable to the third party whose services are utilized in connection with the Integration and that any such additional costs are the responsibility of the Subscriber.

2. Fees and Payment. Subscriber agrees to pay Nowsta the fees specified in the Order for the purchase of the Integration Services, payable upon placing the Order or as otherwise specified in the Order.

3. Integration Services.

3.1 Delivery of Integration Services: Nowsta agrees to provide the Integration Services as described in the applicable Order.

3.2 Intellectual Property Rights: Nowsta retains all intellectual property rights in and to the Integration. Subscriber is granted a non-exclusive, non-transferable license to use the Integration for internal purposes only and solely in connection with its use of the Platform Services during the period where Subscriber has a subscription to use the Platform Services.

4. Delivery of Integration. The parties acknowledge and agree that upon delivery of the Integration, a copy of the Acknowledgement of Delivery will be provided to Subscriber. Subscriber agrees to sign and return the Acknowledgment of Delivery (in the form set forth as Exhibit 1) to Nowsta within three business (3) days after the Integration is delivered specifying that the Integration is operational and performs as set forth in the Order in all material respects (“Delivered”) or shall notify Nowsta that the Integration is not operating as specified and provide details of such issues (“Rejection”). If Subscriber issues a Rejection, the parties will work together to determine if the Integration can be completed and this process will repeat upon redelivery of the Integration. If following the second delivery of the Integration the Integration is still Rejected, then either party may notify the other that the Integration cannot be completed and terminate the Order for such Integration Services without further liability. If Subscriber fails to return the Acknowledgment of Delivery with such three (3) business days, the Integration shall be deemed Delivered.

5. Subscriber Responsibilities. Subscriber acknowledges and agrees that Subscriber is responsible for providing information and performing certain tasks as specified in the Order (or as otherwise reasonably requested by Nowsta from time to time) in order to allow Nowsta to complete the Integration. Nowsta shall have no liability in the event it is unable to complete the Integration as a result of Subscriber’s failure to provide such information and assistance.
